These Terms of Service ("Terms") govern the sale of products and services by BayMeters LLC ("Seller," "BayMeters," "we," "us," or "our") through www.baymeters.com and other authorized sales channels.
By placing an order or purchasing products from BayMeters LLC, the buyer ("Buyer") agrees to be bound by these Terms.
Business-to-Business and Industrial Use
These Terms apply exclusively to business-to-business transactions involving products purchased for commercial, industrial, institutional, governmental, laboratory, or professional use. The Purchased Items are designed, marketed, and sold as industrial products and are not intended for personal, family, or household use.
By placing an order, Buyer represents that the Purchased Items are being acquired primarily for business, commercial, industrial, institutional, governmental, laboratory, or professional purposes.
Definitions
"Shipment Date" means the date on which a Purchased Item is tendered by BayMeters LLC, or its designated fulfillment partner, to the carrier for delivery to Buyer, as evidenced by the applicable shipping records.
"Delivery Date" means the date on which a Purchased Item is delivered to Buyer at the applicable delivery location, as evidenced by the applicable carrier or delivery records.
Unless otherwise expressly stated in these Terms or agreed in writing, all instrument warranty periods commence on the applicable Shipment Date. Inspection, shipping-damage, shortage, Dead-On-Arrival ("DOA"), consumable, and sensor claim periods commence on the applicable Delivery Date.
1. Seller's Limited Warranty (Brand-Based)
BayMeters warrants that all purchased items ("Purchased Items") sold by Seller will be free from defects in materials and workmanship under normal use for the applicable warranty period described in these Terms, unless otherwise specified in writing.
This limited warranty applies only to the original Buyer and is non-transferable.
BayMeters sells products under multiple brands, including BayMeters™ and Supmea®. Warranty duration, administration, and service responsibility may differ by brand and product category as defined below.
2. Category Warranty
2.1 Instruments – BayMeters™ Branded
All BayMeters™ branded instruments, including but not limited to controllers, transmitters, converters, flowmeters, and analyzers, are covered by a standard thirty-six (36) month / three (3) year limited warranty commencing on the Shipment Date, unless otherwise specified in writing.
This warranty covers defects in materials and workmanship under normal industrial use and operating conditions within BayMeters' published product specifications.
2.2 Instruments – Supmea® Branded
All Supmea® branded instruments are covered by a standard twelve (12) month limited warranty commencing on the Shipment Date, unless a different warranty period is expressly stated in writing by BayMeters LLC or in Supmea's official product documentation applicable to the Purchased Item.
BayMeters LLC acts as the authorized North American sales and service representative for Supmea products and will assist Buyers with warranty coordination, technical communication, and logistics support. Except for the Shipment Date commencement rule stated above, final warranty coverage remains subject to the manufacturer's official policy applicable to the Purchased Item.
2.3 Consumables and Sensors – All Brands
Consumable items and sensors, including but not limited to pH/ORP electrodes, turbidity probes, optical windows, DO membranes, electrolytes, gaskets, O-rings, filters, batteries, and cables, are covered by a thirty (30) day limited functional-defect warranty commencing on the Delivery Date.
This coverage applies only to manufacturing defects. Performance degradation, drift, or damage caused by fouling, scaling, corrosion, abrasion, poisoning, dehydration, improper cleaning, incompatible media, or improper installation is excluded.
The thirty (30) day period does not represent expected service life. Actual lifespan depends on application, environment, and maintenance.
2.4 Inspection and DOA
Buyer must inspect Purchased Items promptly upon receipt.
· Shipping damage or shortages must be reported within seven (7) days after the Delivery Date.
· DOA claims must be reported within thirty (30) days after the Delivery Date.
Failure to report shipping damage, shortages, or DOA conditions within the applicable period constitutes acceptance only with respect to those conditions and does not waive coverage for latent defects otherwise covered during the applicable warranty period.
3. Warranty Exclusions
This limited warranty does not apply to failures or damage resulting from:
· Improper installation, wiring, configuration, or operation;
· Use outside specified operating conditions;
· Unauthorized modification, disassembly, or repair;
· Physical damage, chemical exposure, or environmental conditions beyond product specifications; or
· Normal wear and tear.
3.1 Harsh Environments (Warranty Applicability Clarification)
For purposes of warranty evaluation, "Harsh Environments" means operating or environmental conditions that may accelerate damage, wear, or deterioration of Purchased Items beyond normal industrial use. Such conditions include, but are not limited to:
· Extreme Temperatures: Operation outside the specified or recommended temperature range.
· High Humidity or Moisture: Prolonged exposure to moisture, condensation, or high humidity that may cause corrosion, insulation breakdown, or short circuits.
· Corrosive Atmospheres: Exposure to corrosive chemicals or gases, including hydrogen sulfide (H₂S), chlorine, acids, or alkaline vapors, which may lead to material degradation.
· Dust or Pollution: High concentrations of dust, particulates, or contaminants that may cause fouling, contamination, or mechanical failure.
· Vibration and Shock: Severe or continuous mechanical vibration, impact, or shock that may result in structural or internal damage.
· Radiation Exposure: Exposure to strong electromagnetic fields, ultraviolet light, or other radiation sources that may degrade electronic components or materials.
· Water Immersion or Flooding: Direct immersion, flooding, or prolonged water exposure, especially for products not specifically rated for such conditions.
· Extreme Weather Conditions: Severe weather events, including storms, freezing temperatures, or rapid temperature cycling that may cause physical or functional damage.
· Biological Hazards: Damage caused by insects, rodents, or other biological factors, including damage to cables, seals, or connectors.
Operation in a Harsh Environment may require special product selection, protective measures, installation methods, or maintenance procedures. Operation in a Harsh Environment does not, by itself, void the warranty where the product is expressly rated for such conditions. The warranty exclusion applies where actual operating conditions exceed BayMeters' published specifications or written application approval.
3.2 Geographic Applicability
Unless otherwise agreed in writing, warranty service, technical support, and logistics support provided by BayMeters LLC are intended for Purchased Items installed and operated within the United States and Canada.
For Purchased Items installed or operated outside the United States or Canada, BayMeters LLC may, at its discretion, provide reasonable assistance. Such assistance may be subject to additional costs, extended lead times, manufacturer-level evaluation, or direct handling by the original manufacturer.
4. Warranty Remedies
If Seller verifies that a defect is covered by this limited warranty, Seller shall, at its option:
· Repair the defective product;
· Replace the product with an equivalent model; or
· Provide a prorated refund based on product age and the remaining unused portion of the applicable warranty period.
These are the exclusive warranty remedies available under these Terms.
Any prorated refund will be calculated on a straight-line basis as follows:
Prorated Refund = Original Product Purchase Price × Remaining Warranty Period ÷ Original Warranty Period.
For purposes of this calculation, partial months may be rounded down to the nearest whole month. Original freight, expedited shipping, installation, removal, labor, taxes, duties, and other associated costs are excluded unless otherwise required by applicable law.
5. Warranty Inheritance
Repaired or replacement products provided under warranty are covered for the remaining balance of the original warranty period or ninety (90) days from the date the repaired or replacement product is shipped, whichever is longer.
6. Technical Support and Diagnostics
Buyer agrees to cooperate with Seller in performing reasonable diagnostic procedures, including remote troubleshooting, before authorization of a return or replacement.
Seller may determine that a reported issue is "No Fault Found" ("NFF"). In such cases, Buyer may be responsible for evaluation and return shipping costs.
7. Return Material Authorization (RMA)
All warranty returns require prior RMA authorization from Seller.
Products returned without RMA authorization may be rejected or returned at Buyer's expense.
8. Repair, Replacement, and Refund Terms
Seller's warranty obligations are limited to repair, replacement, or refund as described in these Terms.
Refunds, if selected by Seller, may be prorated in accordance with Section 4. Installation, removal, freight, and associated labor costs are excluded.
9. Response Time and Logistics
Seller will make reasonable efforts to respond to warranty claims during standard business hours.
Replacement lead times may vary based on inventory availability, manufacturing schedules, and logistics constraints. Seller is not responsible for delays caused by carriers or customs.
10. Returns and Restocking
Returns of non-defective items require prior approval and may be subject to a restocking fee of up to fifteen percent (15%).
Custom-configured, special-order, or used products are non-returnable. This non-returnability applies to convenience returns and does not eliminate warranty remedies for a defect verified and covered under these Terms.
11. Software and Firmware
Software and firmware are provided "as is" unless otherwise stated.
Seller does not warrant uninterrupted or error-free software operation and is not responsible for issues arising from third-party systems or integrations.
12. Export Compliance
Buyer agrees to comply with all applicable export control laws and regulations. Products may not be resold, exported, or transferred in violation of U.S. export laws.
13. Pricing and Orders
Prices are subject to change without notice. Seller reserves the right to refuse or cancel orders due to pricing errors, availability, or suspected misuse.
14. Shipping and Risk of Loss
Risk of loss transfers to Buyer upon shipment unless otherwise agreed in writing.
Delivery dates are estimates only and are not guaranteed.
15. Limitation of Liability
To the maximum extent permitted by applicable law, BayMeters LLC shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including without limitation loss of profits, revenue, production, use, data, business opportunity, or system downtime, arising out of or relating to the Purchased Items or these Terms, regardless of the theory of liability and even if BayMeters LLC has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, BayMeters LLC's total aggregate liability arising out of or relating to any Purchased Item, whether based in contract, warranty, tort, strict liability, indemnity, or any other legal theory, shall not exceed the amount actually paid to BayMeters LLC for the specific Purchased Item giving rise to the claim.
The limitations in this Section do not apply to BayMeters LLC's fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited under applicable law.
16. Non-Waivable Statutory Rights
BayMeters products are intended for commercial and industrial use, and these Terms are structured for business-to-business transactions. If, notwithstanding the foregoing, any transaction is determined to be subject to a federal, state, or local consumer protection or warranty law, nothing in these Terms excludes, restricts, or modifies any right or remedy that cannot lawfully be excluded, restricted, or modified. In such circumstances, these Terms apply only to the maximum extent permitted by applicable law.
17. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles.
18. Changes to Terms
Seller reserves the right to modify these Terms from time to time. Updated Terms apply only to orders placed on or after the effective date of the updated Terms.
The warranty terms applicable to a Purchased Item are those in effect on the date Seller accepts the applicable order, unless Seller and Buyer expressly agree otherwise in writing.
